Advised Da Afghanistan Bank (Central Bank Afghanistan), Habib Bank Afghanistan, Bank Alfalah Afghanistan and First Micro Finance Bank of Afghanistan on Credit and collateral securitization in Afghanistan jurisdiction;
– Advised and acted as co-counsel a potential acquirer of New Kabul Bank, Afghanistan. Scope of work included; Advice on forming a due diligence report after physical review of documents available at the NKB data room in Kabul, Afghanistan to include further review of documents from the virtual data room, meetings with the officials of the Da Afghanistan Bank and/or the official receiver, vetting of the Share Purchase Agreement and opinions from time to time relating to the transaction;
– Acted a counsel on behalf of LEGO Logistics Afghanistan in negotiating a concession agreement with the Ministry of Mines and Petroleum, Government of Afghanistan for Exploration, Quarrying and Processing of Quarry Material into Cement by the name of Jabal Siraj Cement, Afghanistan (Project Value USD 170 Million);
– Incorporation of a 100 percent owned subsidiary of Nestle S.A (Switzerland) in Afghanistan with an initial capital investment of USD 10 Million. Advised on matters related to; post incorporation approvals/licenses, due diligences, distribution model, registration of products with the Ministry of Health, customs, HR Matters, successful negotiation and execution of a co-filling agreement with local Afghan partner, corporate structuring, corporate governance matters, financial structuring, dividend repatriation and intellectual property;
– Alokozay Group of Companies, Habib Gulzar Group and Nestle Afghanistan on development of internal regulatory policies and ensuring the same being in line with the jurisdictional regulatory framework of the FMCG Sector of Afghanistan;
– Philip Morris International on regulatory compliance with the Ministry of Public Health, Afghanistan and Afghanistan Customs Department;
– Advised, represented made multiple representations/submissions on behalf of the National Olympic Committee, Afghanistan before the International Olympic Committee and the Olympic Council of Asia. Advised on implementation of the International Olympic Charter and the Charters of International Sports federations in the National Olympic Committee and the twenty-eight sports federations of Afghanistan. Advised the National Olympic Committee, Afghanistan on Corporate Structuring, Financial Structuring, Corporate governance and matters involving compliance of international sport and ethical standards;
– Advised clients, local and International companies operating in Afghanistan and providing logistic services to NATO and American forces, such as Vanquish Worldwide, Supreme Group, Arrow General Supply etc. in compliance with the Federal Acquisition Regulations;
