ABS & Co advised Habib Rafiq Engineering (Private) Limited (“HRL”) in relation to a proposed large-scale development initiative and international project within the Republic of Uzbekistan. Acting as legal counsel, our role required the structuring of a robust set of documents to facilitate the participation of a group of Korean companies within an international consortium to be led and coordinated by HRL.
The assignment involved a detailed and structured review of the collaboration framework in light of the specific requirements of the project and the broader regulatory environment governing international engineering and real estate partnerships. This engagement evolved through several stages, finally being formalized through a detailed Letter of Intent (LOI).
We examined lead coordinator mandates to establish HRL’s role as the principal entity overseeing property development initiatives, including master planning, architectural integration, and EPC support. The framework broadly invites the Korean entities to contribute either capital or specialized technical resources toward the project’s infrastructure components, such as sewerage, security systems, and integrated real estate development.
Furthermore, we focused on non-binding structural protections to ensure that while the parties work in good faith, legal obligations only arise upon the execution of formal definitive agreements. Particular care was taken to ensure that the framework allowed for the seamless integration of these international stakeholders without granting premature exclusivity or partnership rights. Where necessary, we proposed substantive revisions to enhance legal certainty, mitigate premature liability exposure, and strengthen the structural integrity of the project’s early-stage documentation under the laws of Pakistan.
The execution of this LOI marks a significant step forward in bringing world-class engineering and technical expertise to the Uzbek market. Engagements of this nature highlight the importance of precision and foresight at the pre-contractual stage, particularly where large-scale infrastructure projects require the alignment of diverse international interests under a unified lead entity.
