ABS & Co advises on the acquisition of Heavy Electrical Complex by DW Pakistan Private Limited

ABS & Co is pleased to have advised DW Pakistan, an associated company of Daewoo Pakistan in its acquisition of Heavy Electrical Complex (HEC), one of Pakistan’s largest state-owned power equipment manufacturers, as part of the government’s strategic privatization programme.

Our engagement involved advising DW Pakistan on the full transaction cycle, including due diligence, structuring of the share acquisition, negotiation of the Share Purchase Agreement, and addressing regulatory clearances from the Privatisation Commission, SECP, and Competition Commission of Pakistan. The team provided detailed analysis of HEC’s corporate and financial records, highlighted key operational liabilities, and designed risk allocation mechanisms to protect DW Pakistan’s investment.

We also advised on post-acquisition integration issues, including governance, employment transitions, and compliance with sector-specific regulations. Particular focus was placed on aligning HEC’s operations with DW Pakistan’s broader industrial footprint in Pakistan, especially in light of synergies with Daewoo Pakistan’s transport and infrastructure business.
